1. Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of the easemed.ai website and the EaseMed procurement platform (together, the “Service”), operated by EaseMed (“easemed”, “we”, “us” or “our”).
By creating an account, accepting these Terms during onboarding, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation, and “you” refers to both you and that organisation. If you do not agree, do not use the Service.
2. The Service
EaseMed is a business-to-business platform that helps healthcare facilities (“Buyers”) and medical suppliers (“Suppliers”) discover each other, create and respond to requests for quotation, compare offers, and manage purchase orders and related documents.
Unless we expressly agree otherwise in writing, EaseMed is not a manufacturer, distributor, seller or buyer of any product, and is not a party to the contracts that Buyers and Suppliers make with each other through the Service. Each Buyer and Supplier is responsible for the transactions it enters into.
3. Eligibility and accounts
- The Service is for businesses and professionals only. You must be at least 18 and act on behalf of a legitimate healthcare facility, supplier or other organisation.
- You must give accurate, complete and current information during registration and verification, and keep it up to date.
- You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at the address below if you suspect unauthorised use.
- We may approve, decline or limit access to the Service at our discretion, including while an organisation's verification is pending.
4. Verification
We may review registrations, licences, certificates and other documents to verify organisations before they can use some or all of the Service. Verification helps build a trusted marketplace, but it is not a guarantee, endorsement or certification of any organisation, product or document.
Buyers and Suppliers remain responsible for their own due diligence, and for confirming that products meet the regulatory, quality and safety requirements that apply to them, including any medical device regulations, CE marking, registration and labelling requirements in the relevant country.
5. Buyer and Supplier responsibilities
Buyers agree to:
- issue requests for quotation in good faith and describe requirements accurately; and
- review quotations, products and supplier credentials before awarding business or issuing purchase orders.
Suppliers agree to:
- provide accurate product information, pricing, availability, lead times and certifications;
- hold all licences, registrations and approvals needed to supply the products they offer; and
- honour quotations and accepted purchase orders on the terms agreed with the Buyer.
Pricing, delivery, warranties, returns, payment and other commercial terms are agreed directly between the Buyer and the Supplier.
6. AI-assisted features
The Service uses automated tools, including AI models, to extract information from documents, match Suppliers, analyse bundles, forecast demand and generate insights. These outputs may be incomplete or inaccurate. You are responsible for reviewing them before relying on them. They are not medical, clinical, legal, regulatory or financial advice.
7. Acceptable use
You must not:
- use the Service for any unlawful purpose, or to offer, buy or sell counterfeit, unapproved, recalled or illegal products;
- upload false, misleading or forged information or documents;
- upload patient-identifiable or other sensitive personal data that is not needed for procurement;
- contact other users to bypass the Service in a way that breaches these Terms, or misuse other users' information;
- attempt to gain unauthorised access to, probe, scrape, reverse engineer or disrupt the Service or its security; or
- upload malware or anything that infringes the rights of others.
8. Your content
You keep ownership of the data, documents and other content you submit to the Service (“Your Content”). You grant EaseMed a worldwide, non-exclusive, royalty-free licence to host, store, process, analyse, transmit and display Your Content as needed to provide, secure and improve the Service and to share it with the users you choose to transact with. You confirm that you have the rights needed to grant this licence. Our use of personal information is described in our Privacy Policy.
9. Our intellectual property
The Service, including its software, design, text, graphics, analytics and the EaseMed name and logo, is owned by EaseMed or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms. We may use feedback you give us without any obligation to you.
10. Confidentiality
Requests for quotation, quotations, pricing and other commercial information you receive through the Service may be confidential to the user who shared it. You must use it only to evaluate or carry out the relevant transaction and must not disclose it to others without that user’s permission, unless required by law.
11. Early access and fees
Some features are offered as early access or beta features. They may change, be limited or be withdrawn at any time. If fees apply to your use of the Service, we will tell you before you are charged, and the fees and payment terms will be set out in a separate order form or agreement.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. EaseMed makes no warranties, express or implied, including as to merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or make any warranty about the products, prices, documents or conduct of any Buyer or Supplier.
13. Limitation of liability
To the fullest extent permitted by law, EaseMed will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Service or any transaction between users.
Our total liability for all claims relating to the Service will not exceed the greater of the fees you paid to EaseMed in the twelve months before the claim arose and one hundred euros (EUR 100). Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
14. Indemnity
You will indemnify and hold EaseMed harmless from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, Your Content, the products you supply or purchase, or your violation of any law or third-party right.
15. Suspension and termination
You may stop using the Service and ask us to close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination, including those on content, confidentiality, disclaimers, limitation of liability and indemnity, will continue to apply.
16. Changes to these terms
We may update these Terms from time to time. When we do, we will change the “Last updated” date above, and if the changes are material we will notify account holders by email or through the Service. Continuing to use the Service after changes take effect means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the jurisdiction in which EaseMed’s contracting entity is established, without regard to its conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless mandatory law gives you the right to bring a claim elsewhere.
